SUBJECT MATTER:
Receive, consider and act upon a license agreement for use of Creekside Village Green Park and a lease for use of property on Millennium Forest Drive between The Woodlands Township and The Woodlands Land Development Company (C-2019-0025);
FISCAL IMPACT:
There is no direct fiscal impact to the Township related to this agreement.  
BACKGROUND:
In 2015, Village Green Park was conveyed to The Woodlands Township from CSPV Holdings, LLC.  by Special Warranty Deed.  Village Green Park is located in the village center in the Village of Creekside Park, and while it serves as a neighborhood park, the amenity also functions as civic plaza, entertainment area and special event venue.  

The Woodlands Land Development Company (TWDC) has been producing community special events at the park and the proposed License Agreement provides for a long-term relationship that benefits both parties.  The License provides TWDC the right to plan, promote, manage and lead activities and events on behalf of the residents of the Township that aid community spirit for a period of twenty-five (25) years.  TWDC must provide the Township three months notice for such planned events and must comply with the Township's Park Rules and Special Event Policy and Procedures (Attachment A).

In exchange for the use of the park, TWDC will lease to the Township a 2.0967 acre tract of land on Millennium Forest Dr. that is adjacent to the Township's Parks, Recreation and Environmental Services (PARDES) campus.   The Township has had rights to use a portion of the tract for storage of materials and equipment; however, those rights expired.  The Lease provides the Township the right to store materials and equipment and parking of vehicles.  Due to growth in Township staff working at the PARDES campus, the Township's property does not provide adequate parking for employees nor room to store landscape materials and equipment. The Lease will help resolve these issues.  The term of the Lease coincides with the License Agreement for a term of twenty-five (25) years. (Attachment B).
RECOMMENDATION:
Approve the License Agreement and Lease with The Woodlands Land Develpment Company, L.P. as presented and authorize the President/General Manager to execute the agreements as approved to final form by the Township Attorney.
