SUBJECT MATTER:
Receive, consider and act upon a Second Amendment to the Project Development and Joint Use Agreement with The Center for The Performing Arts at The Woodlands (C-2015-5262A);
FISCAL IMPACT:
There is no fiscal impact to The Woodlands Township related to the Second Amendment to the Project Development and Joint Use Agreement with The Center for The Performing Arts at The Woodlands;
BACKGROUND:
The Center for the Performing Arts at The Woodlands, aka Cynthia Woodlands Mitchell Pavilion (CWMP) and The Woodlands Township executed the Project Development and Joint Use Agreement on July 29, 2015. The agreement provided the terms and conditions related to the development of the multi-purpose event center giving the Township exclusive rights for a period of time from November 15 of each year to the following March 15.  The Joint Use Agreement was amended by the “Guaranteed Maximum Price Amendment” effective November 3, 2015. 

This Second Amendment to the Joint Use Agreement  is necessary to set forth certain terms and conditions upon which food and beverages, and in particular alcohol, are served to guests in the facility during the period of time the Township has exclusive use (Attachment A).   Due to Texas Alcoholic Beverage Commission (TABC) laws, rules and regulations, only one liquor license can be issued as a premise license per address at any given time.  Therefore, in order for Township sponsored Community Events, such as the Inspire Film Festival, The Woodlands Waterway Arts Festival Art Dash and The Woodlands Marathon,  to be able to serve alcohol to their guests, specific procedures must be followed to be in compliance with TABC.  The Second Amendment establishes such procedures.
RECOMMENDATION:
Approve the Second Amendment to the Project Development and Joint Use Agreement with The Center for The Performing Arts at The Woodlands as presented and authorize the President/General Manager to execute the agreement;
